VN Signing Services LLC (“we,” “us”) is actively building SaffronSeal and onboarding notaries state by state. We're onboarding notaries state by state, so booking volume in a new market may be low at first — we don't promise a minimum number of jobs.
This document is a good-faith template written for a pre-launch marketplace. It has not yet been reviewed by a licensed attorney in every state we operate in, and it is not legal advice. We will update it, with notice, as our legal review finishes and as SaffronSeal moves out of beta.
This Notary Agreement (“Agreement”) is between VN Signing Services LLC, doing business as SaffronSeal(“we,” “us,” “SaffronSeal”), and you, a notary public or signing agent who creates a Notary profile on the Platform (“you,” “Notary”). It supplements our general Terms of Service. By completing Notary onboarding, you agree to this Agreement.
You provide notarial services through SaffronSeal as an independent contractor, not as an employee, agent, partner, or joint venturer of VN Signing Services LLC. You control the manner, means, and timing of the notarial acts you perform. You are not entitled to employee benefits, unemployment insurance, or workers' compensation through VN Signing Services LLC, and nothing in this Agreement creates an employment relationship. You are free to offer notary services to others outside the Platform.
To activate and keep a Notary profile, you must:
We may place your profile on hold or remove it from search if your credentials lapse, your background check expires, or we reasonably believe you're not currently authorized to practice as a notary in a state you've listed. Only Notary profiles we've approved appear in Customer and Company search results.
You are solely responsible for performing every notarial act in full compliance with the notary law and handbook of your commissioning state, and, where different, the law governing the signer's location. You must decline any request you are not legally authorized or currently qualified to perform, and you must keep whatever journal or record of notarial acts your state requires. SaffronSeal does not direct, supervise, or take responsibility for how you perform a notarial act — that judgment, and that liability, is yours.
If you offer Remote Online Notarization through SaffronSeal, you confirm that RON is legally permitted for the relevant transaction under your state's law (and the signer's, where applicable), and that you perform it only through state-approved RON technology. You are responsible for confirming legal authorization before accepting any RON booking — enabling RON in your profile is not a representation by SaffronSeal that RON is available or appropriate for a given signer or document.
Performing a notarial act is not practicing law, and you agree not to give legal advice, draft legal documents, or recommend which legal document a signer should use through the Platform unless you are independently licensed to do so in that context. SaffronSeal is not responsible for legal advice you may separately provide outside your role as a notary.
SaffronSeal charges the Customer or Company for each booking and collects that payment through our Stripe account. You keep the Notary share of the posted fee shown to you when you accept a job — currently 80%, with SaffronSeal retaining the platform fee. We may change this split for bookings offered after we give you notice, but it will never change retroactively on a job you've already accepted.
Payouts are made through Stripe Connect: you connect your own bank account via a Stripe Express account, which is subject to Stripe's identity-verification requirements and its Connected Account Agreement. After a booking is marked complete, we transfer your share from our Stripe balance to your connected account on our normal payout schedule. SaffronSeal is not a bank; funds move on Stripe's standard processing timeline, which we don't control.
You are solely responsible for your own taxes on income earned through the Platform. We don't withhold taxes from your payouts, and we'll issue any tax forms (for example, a Form 1099) required by law based on the payments Stripe processes for you.
If a Customer cancels or a payment is refunded under our Refund Policy, your payout for that booking is adjusted accordingly — you're paid in full for work you've actually performed, and not for a notarization that didn't happen. If you need to cancel a booking you've accepted, do so with as much notice as possible through the Platform so we can find a replacement Notary.
You are responsible for maintaining your own E&O insurance and bond as your state requires, and for any liability arising from your acts or omissions in performing notarial services. You agree to indemnify VN Signing Services LLC against claims arising from your performance (or failure to perform) a notarial act, except to the extent caused by our own gross negligence or willful misconduct.
Customers and Companies can rate completed bookings. We may place a profile on hold, restrict which jobs it can see, or remove it from the Platform for a pattern of low ratings, credential lapses, no-shows, or conduct that violates this Agreement or our Terms.
Either of us may end this Agreement at any time. We'll try to give you notice where practical, except where we reasonably believe immediate action is needed to protect users of the Platform (for example, a lapsed commission or a credible safety report). Bookings you've already completed are still paid out according to Section 6.
TODO(hardik): confirm the governing-law state and dispute-resolution venue for this Agreement once VN Signing Services LLC's formation state and counsel are finalized.
We may update this Agreement as SaffronSeal grows out of beta. We'll post changes here and update the “Last updated” date; changes that affect your fee split or payout terms will never apply retroactively to a job you've already accepted.
